1. Acceptance of Terms

By accessing, browsing, or using the software development and consulting services provided by Darshni Software, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree to these terms, you must discontinue your use of our services immediately.

Binding Agreement

This document constitutes a legally binding agreement between you (the "Client") and Darshni Software.

2. Provision of Services

Custom Development

Tailored software solutions delivered according to agreed specifications and timelines.

Updates & Maintenance

Ongoing support and updates as defined in your specific Service Level Agreement (SLA).

Service Modifications

We reserve the right to modify or discontinue features to improve system performance.

3. User Responsibilities & Conduct

To ensure a secure environment for all clients, you agree to the following responsibilities:

  • Account Security: You are responsible for maintaining the confidentiality of your login credentials.
  • Compliance: Use our services only for lawful purposes and in accordance with all applicable laws.
  • No Misuse: Do not attempt to reverse engineer, hack, or disrupt the integrity of our software infrastructure.

4. Intellectual Property Rights

Ownership & Licensing

Darshni Software retains all rights, title, and interest in our proprietary code, algorithms, and pre-existing libraries. Upon full payment, the Client is granted a perpetual, non-exclusive license to use the custom software developed specifically for them.

5. Limitation of Liability

Our liability is limited to the fullest extent permitted by law. We structure our risk as follows:

6. Termination of Services

We reserve the right to suspend or terminate your access to our services at any time, without prior notice, for conduct that we believe violates these Terms of Service or is harmful to other users, our business, or third parties. Clients may terminate services according to the notice periods defined in their individual contracts.

7. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
